1. THE CONTEST: This contest is open to residents of Canada only. The contest is being conducted by Kao Brands Canada Inc. (hereinafter referred to as the "Sponsor"). No purchase necessary. The John Frieda® "Root Awakening" sweepstakes (the "Contest") begins at 12:00 AM (EDT) on February 27, 2009 and closes at 11:59 PM (EST) on May 31, 2009 (hereafter referred to as the "Contest Period"). The Contest is open to legal residents of Canada who have reached the age of majority in the province/territory they live in as of the start of the Contest Period. Employees of the Sponsor, its affiliates, subsidiaries, parent or related companies, its advertising or promotional agencies, or persons living in the same household as such employees, are not eligible to participate in this Contest.

2. THE PRIZES: There is one (1) Grand Prize available to be won. The Grand Prize consists of one (1) spa weekend getaway for two in Mont Tremblant, Quebec, including return economy class airfare to Montreal from the Canadian international airport closest to the winner's home, accommodation (double occupancy) in a standard room for a total of three nights at two luxury hotels in Mont Tremblant. The winner and guest will receive a number of spa services (to be booked at the Sponsor's discretion). The prize package will also include a hair cut or style at CAJH Maitre Coiffeurs in Montreal for the winner only. Transportation from the Montreal airport to CAJH Maitre Coiffeurs in Montreal will be provided. Transportation from CAJH Maitre Coiffeurs in Montreal to Mont Tremblant will be provided. The winner only will receive $500 CDN spending money. Approximate retail value of the Grand Prize will vary, based on point of departure - based on a Toronto departure, value would be approximately $5,000 CAD. Prize must be accepted as awarded and is not transferable. The winner may at his/her discretion, accept a one-time cash surrender value for the Grand Prize trip, as outlined, in the amount of $4,000 (payable to the winner via certified cheque). Upon acceptance of that cheque, the winner relinquishes all claim to the Grand Prize trip package as outlined. The Grand Prize trip does not include the costs of any items or expenses not expressly listed herein as being included in the prize, including, without limitation, the following, which are the sole responsibility of the winner and/or his/her guest: transportation for winner and guest to and from the Canadian international airport closest to the winner's home, personal and miscellaneous expenses for winner and guest of any kind, medical health, hospital and trip cancellation insurance, excess baggage fees, import charges, communication charges, meals, beverages (including alcoholic beverages), costs associated with guest amenities and services at winner's accommodation, sightseeing, and any costs or expenses related to the obtaining of travel documents, passports and visas (if any) . It is the sole responsibility of the winner and his/her guest to obtain all necessary travel documentation including passports and visas, as applicable and to comply with any customs and immigration requirements. Any unused portion of the Grand Prize trip will be considered forfeited and no substitution or other compensation will be awarded. Prize trip must be booked a minimum of 30 days prior to travel and is based on availability at time of booking. Winner and guest must travel on the same airplane and itinerary. Winner's guest may be under the age of majority in his/her province or territory of residence only if the winner is the parent, legal guardian, aunt, uncle or grandparent of the guest and the guest must have the express written permission (in form and content satisfactory to the Sponsor) of his/parent or legal guardian in order to accompany the winner. Travel must be completed between August 1, 2009 and December 15, 2009 and must depart on a Thursday and return on Sunday. This travel period cannot be extended under any circumstances and no change will be permitted to travel dates or passenger names once the prize travel booking has been confirmed. Certain blackout periods may apply, including but not exclusive to, Thanksgiving weekend, October 10 - 12, 2009.

Weekly Prizes: There are twelve (12) Weekly Prizes available to be won, each consisting of a one-year supply of John Frieda® Root AwakeningTM products (approximate retail value of $240). Please allow 4 to 6 weeks to receive your Gift Basket. Limit one (1) Gift Basket per person, per household.

3. HOW TO ENTER: There is one way to enter the contest. NO PURCHASE NECESSARY. To enter the Contest online, visit www.johnfrieda.ca , click on the contest button to complete and submit the Contest entry form in full during the Contest Period, including name, address, daytime phone number, email address and age. Limit is one on-line entry per person, per household and per email address, per day (12:00 AM to 11:59 PM EST). Entrants may use only one e-mail address to enter and entries generated by script, macro, robotic, programmed, or any other automated means or any other means which in the opinion of the Sponsor in its sole discretion subvert the entry process are void. If it is discovered that any person has attempted to submit one or more entries otherwise than in accordance with these Contest rules, all entries submitted by that person are subject to disqualification.

4. THE DRAW: The Grand Prize will be selected, from all eligible entries received during the Contest Period, in a random draw conducted by the Contest judges at approximately 2:00 PM EST on June 15, 2009 in Toronto, ON. The odds of winning the Grand Prize depend on the total number of eligible entries received. A random draw for one Weekly Prize will be held at 11:00 am ET on each Friday of the Contest Period in Toronto, ON beginning on March 13, 2009, and the last draw will be held on May 29, 2009. Each draw will be conducted from amongst all eligible entries received up to 11:59 PM ET on the Thursday immediately before the draw. The odds of winning a Weekly Prize depend on the number of eligible entries received by each draw cut-off date. In order to win a prize, the selected entrant must first correctly answer a time-limited mathematical skill-testing question to be administered by mail, email or telephone, at the sole discretion of the Sponsor. All potential prize winners will be notified by mail, email or telephone and will be required to sign and return an eligibility and liability/publicity release within ten (10) business days of notification. If any selected entrant cannot be contacted by mail, email or telephone within ten (10) days following the draw, or fails to return the Contest documents within the specified time, he/she will forfeit their prize and the Sponsor reserves the right, in its sole discretion, to select an alternate entrant, whom attempts will be made to contact for a period of ten (10) days following his/ her selection, and who will be subject to disqualification, in the same manner, if he/she cannot successfully be contacted. The Grand Prize winner's guest (or his/her parent or legal guardian if a minor in his/her province/territory of residence) must also sign and return a liability/publicity release within the time-period set out by the Sponsor in order to participate in the Grand Prize. Decisions of the Contest judges, who may be employees or independent contractors of the Sponsor or its promotional agencies, will be final and without right of appeal with respect to all aspects of the Contest, including without limitation, eligibility and/or disqualification of entries. Without limiting the generality of the foregoing, as a condition of receiving and/or participating in the Grand Prize the winner and guest (or the guest's parent or legal guardian if guest is a minor in his/her province/territory of residence) must consent, without further compensation, and in the Sponsor's form of liability/publicity release, to the use of his/her name, province or territory of residence, statements, photograph or other likeness in any publicity carried out by the Sponsor and/or its agents in respect of the Contest. Neither the Sponsor nor the Contest judges are responsible for any problems or technical malfunctions of any telephone network or lines, computer online systems or servers, computer software problems or traffic congestion on the internet or at any website and assumes no liability for damage to entrant's or any person's computer resulting from participating in the contest. In the event of a dispute as to the identity of a winner based on an email address, the winning entry will be deemed to be made by the authorized account holder of the email address at the time of entry. "Authorized account holder" is the natural person who is assigned an email address by an internet service provider or other organization responsible for assigning email addresses for the domain associated with the email address in question. The Sponsor is not responsible for late, lost, misdirected, garbled, mutilated, or incomplete entries.

5. Prize must be accepted as awarded. The Prize may not be sold and is not transferable. Sponsor reserves the right to substitute the Prize in whole or in part in the event that all or any component of the Prize is unavailable.

6. GENERAL: The Contest is subject to all applicable federal, provincial and municipal laws and regulations. By entering the contest, participants agree to be bound by these official rules and by all decisions of the Contest judges.

7. All entries become the property of the Sponsor and none will be returned. By completing the entry forms, all entrants consent to the collection, use and distribution of their personal information by the Sponsor for the purposes of running the Contest (information is stored for approximately one year). Sponsor will not sell or transmit this information to third parties except for the purposes of administering the contest. 8. If, for any reason, this Contest is not capable of being completed as planned, including but not limited to, computer virus, bugs, tampering, technical failures or other causes beyond the control of the Sponsor, the Sponsor reserves the right, in its sole discretion, subject to the approval of the Régie in Quebec, to cancel or suspend this Contest or to amend these Contest rules for any reason at any time without notice. Any attempt to deliberately damage any website or to undermine the legitimate operation of this promotion is a violation of criminal and civil laws, and should such an attempt be made, Sponsor reserves the right to seek remedies and damages to the fullest extent permitted by law.

9. The terms of this Contest, as set out in these rules, are not subject to counter-offer, nor to amendment, except as set out herein. By entering or attempting to enter the Contest, each entrant and/or purported entrant releases, discharges, and forever holds harmless the Sponsor, the Contest judges and the Sponsor's promotional agencies involved in the advertising or administration of this Contest and their respective officers, directors, employees, shareholders, agents and other representatives (collectively, the "Releasees") from any and all claims, actions, damages, demands, manner of actions, causes of action, suits, debts, duties, accounts, bonds, covenants, warranties, indemnities, claims over, contracts and liabilities of whatever nature or kind arising out of, or in connection with the entrant's participation or attempted participation in the contest, compliance or non-compliance with these contest rules and acceptance and use of the Prize.

10. For residents of Québec, any litigation respecting the conduct or organization of this publicity Contest may be submitted to the Régie des alcools, des courses et des jeux for a ruling. Any litigation respecting the awarding of a prize may be submitted to the Régie des alcools, des courses et des jeux, only for the purpose of helping the parties reach a settlement.
